Job description

GCB 3

Some careers have more impact than others.

If you’re looking for a role where you can continue to make an impression, take the next step at HSBC where your contributions will always be valued.

HSBC Corporate and Institutional Banking is a markets-led, financing-focused business that provides investment and financial solutions. Through our international network, we connect emerging and mature markets, covering key growth areas. We partner with our corporate, government and institutional clients to help them achieve consistent, long-term performance. Our products and services include advisory, financing, prime services, research and analysis, securities services, trading and sales and transaction banking.

We are currently seeking a high calibre professional to join our team as a Director, Private Credit Origination, Leveraged, Acquisition and Syndicated Finance (LAF).

Within the Capital Markets and Advisory business, our ambition is to be the leading global financing powerhouse, complemented by targeted strategic advisory capabilities in Asia & the Middle East, as a trusted partner for clients.

Role Purpose:

HSBC’s Leveraged, Acquisition and Syndicated Finance, part of Capital Markets & Advisory, provides financing services to corporates, financial sponsors, financial institutions, and governments in several sectors. The team provides a single point for clients to access advice on financing and capital structuring.

Private Credit is a rapidly growing asset class and investor pool of capital where corporates (typically sponsor owned) borrow loans directly from a fund or institution rather than from a bank lender.

The CMA Private Credit initiative is a proposal to bring the existing MSS Private Credit O2D (Originate to Distribute) business and the LAF business into a closer collaboration going forwards. In broad terms, LAF will be responsible for Origination, MSS will be responsible for Distribution whereas deal structuring activity and underwriting risk will be shared across both teams.

We are seeking a proactive and highly skilled professional to join our LAF team as the Head of Private Credit Origination.

Typical situations calling for Private Credit solutions may include sub-benchmark sized loans, unrated and relatively unknown borrowers, complex credit situations, second ranking or otherwise subordinated debt as well as stressed/distressed borrowers. The initiative will be aligned to an investor base of new pockets of capital focused on “private debt” investments through the institutional/fund client relationships managed by MSS sales.

Private Credit Origination is a new construct being set up as a result of this PDD with overall responsibility for the CMA Private Credit business – including origination, transaction oversight and collaboration with MSS for the management and distribution of underwritten transactions.

The PCO team will also act as the sole and central origination point for all Private Credit origination across HSBC.

a)    The key responsibility for the PCO team is the filtering of enquiries as well as proactive origination from HSBC’s origination network and the first level assessment of transactions to determine viability and suitability against the business strategy criteria for CMA Private Credit.

b)    The PCO team will also have key control / NFR responsibilities including:

i)    Constituting and enabling the deal team which could consist of LAF, MSS and CIB/CMB colleagues – i.e., public and private side people.
ii)    Ensuring that the Relationship Managers are following the information control procedures such as opening and maintaining GIRS registers, wall-crossing and sharing of information as appropriate as per the previous section as well as any conflict clearance requirements.
iii)    Due to the frequent interaction of the PCO team with public side individuals, all PCO team members will be subject to the same phone/zoom call recording and surveillance requirements as applicable to the Syndicate teams in CMA.
Ideal candidates should be team players, highly motivated, and passionate about the sector. Strong communication skills are essential, as you will be interacting with internal and external stakeholders, including consultants, legal counsel, ratings agencies, and other market participants.
