  • Within HSBC Operations, Services and Technology, Global Disclosures of Interest (GDoI) Operations Team is responsible for monitoring & filing disclosures on behalf of HSBC / HSBC Entities’ positions in Equity & Equity derivatives of listed companies across the Globe. The team also monitors and discloses positions held in EU Countries’ Sovereign Bonds, Credit Default Swaps & Bond derivatives. The monitoring and disclosures are both at an aggregated & entity level based on the Regulations of each of the Countries. The GDoI Team ensures the Group adheres to Regulations which cater to Substantial Shareholding, Short Selling, Takeover & Merger, Sensitive Industries and Companies’ By-laws. The Team also provides a number of services to the global business lines in matters such as but not limited to trade approvals, monitoring adherence to the share dealing restrictions, engagement with external companies in relation to issuer request, address Regulators/Competent Authorities enquiries, Regulatory Compliance enquiries, engage with internal and external legal counsel and any other disclosure related enquiries (internal or external).

The Opportunity:

  • The Role of Configuration and Validation, AVP, GDOI Team includes but is not limited to the following:

  • Configure/Validate/Maintain system rules to keep in touch with Internal/Regulatory requirement

  • Create/Maintain regularly the Standard Operating Procedures (SOPs) to meet operational effectiveness

  • To coordinate the regulation changes with the DoI Enablement and Solutions team, GDoI Management and Change Board and ensure timely embedding into the Standard Operating Procedures (SOP)

  • Undertake the Governance for annual/ad hoc approval/attestation of the Standard Operating Procedures (SOPs)

  • Analyse information gathered to develop recommendations for improvement and changes in current policies. Ensure insights into gaps discovered as part of the configuration and validation process are communicated to appropriate management.

  • Providing GDoI specialist professional advice on Endoxa mandate reviews and Mandate Implementation through collaborating with GDoI Management and other stake holders where applicable

  • Ensuring that Workflow/alerts assignments are completed on a timely and efficient manner with due respect to the standards established by GDoI Process.

  • Perform 100% validation of the process, Quality checks of various GDoI (Daily/Weekly/Monthly) reports and accurate disclosure decisions

  • Ensure accurate and timely output of Quality Checks, ensuring results are accurately recorded within the shared drive and associated files and folders that support MI production

  • Identify and report Processing Errors to GDoI Management. Cascade Error Summary reports to Processing team and perform targeted training to improve the Quality process of the team

  • To ensure timely and accurate restrictions of stocks on Share Dealing Restricted List (SDRL) arising from various obligations or internal stakeholders’ advice. Perform and maintain continuous SDRL Management.

  • Prepare various Management Information (MI) for GDoI Management, Internal/ External stakeholders. Provide Insights and trends based on MI reports.

  • Maintain and enhance stakeholder relationships through efficient engagement with various GDoI stakeholders, facilitate effective communication and Decision making, appropriate challenge in business/compliance governance forums.

  • Perform User Acceptance Testing (UAT) of IT Changes, develop test cases and execute UAT for IT system changes, validate and document test results, provide sign-off on changes after successful validation in collaboration with the Position Reporting Managers and the GDoI Enablement & Solutions Team

  • Ensure the Global Inventory of Regulatory Reports (RRIS) is updated accurately and timely in line with Change processes. Perform regular audits of RRIS inventory and update GDoI Head/Delegate on a timely manner 

  • Assist in the leadership of the team, through acting as a role model for junior team members, and fostering an open and collaborative working culture

  • Ensuring that audit assignments, if any to GDoI, are completed on a timely and efficient manner

  • Challenge existing processes and help streamline and standardize them across all obligations

What you’ll do:

Impact on the Business/Function

  • Examine all regulatory changes related to the shareholding disclosures and assess the impact of the change to System rules and Standard Operating Procedure (SOP)

  • Make the Operations Team aware of the new regulations / changes in regulations and ensure that the Operations Team understand the changes and incorporates them in their day-to-day operations.

  • Review the system rules that are used by the Operations Team and ensure that they cover the complete scope of the disclosure obligation.

  • Understanding and communicating to the operations team all requirements including regulatory aspects for any new work taken up by the team

  • Own the Operational processes, procedures, system rules, data integrity

  • Ensure 100% quality checks are performed by the Configuration and Validation team on the monitoring activities.

  • Own the implementation and operationalization of all new regulatory changes to the process. Includes owning documentation, creating rules, associated processes/procedures, training of staff and implementation into daily operations.

  • Ensure the completeness and accuracy of the Procedures followed by the production team

  • Take ownership of system/data issues and liaise with IT Teams for resolution of issues, identification of root causes and enhancement of systems

  • Understanding and communicating to the operations team all requirements including regulatory aspects for any new work taken up by the team

Requirements

What you will need to succeed in the role:

  • Good Knowledge of Capital Market (Equity & Fixed Income)

  • Good knowledge relating to shareholding disclosures across all jurisdictions and exposure to all types of obligation, including interpretation of complex regulations

  • Understanding of all lines of business who have an obligation to meet which includes Private Bank, Trust business, Global Banking, Markets and Securities Services, Asset Management, Insurance and Retail Banking

  • Ability to work on complex database

  • Excellent business writing, communication, presentation and influencing skills utilising a high level of professionalism and competency which helps to determine solutions around appropriate risk measures, risk processes, risk monitoring and management.

  • Understanding of the trading life cycle (Booking Models, source systems, data feed structure) and relevance to the disclosure systems and operational processes.

  • Strong interpersonal skills and able to build and maintain relationships with all stakeholders, to include and limited to the 1LOD- Risk Owners, 2LOD - Regulatory Compliance and other internal stakeholders (e.g. Internal Legal, External Counsel, 3LOD – Audit, COO Functions, Global Operations (DBS))

  • Lateral thinker with an ability to interpret and solve complex issues

  • Self-motivated, enthusiastic and proven quick learning capability

  • Requires ability to effectively resolve issues arising on a day-to-day basis, with an overriding view of minimizing any breach of regulations

  • The ability to manage and influence a variety of stakeholders in potentially challenging circumstances and environments

  • Proficient in the use of Microsoft Office applications

  • At least 4 to 5 years of experience in Disclosure of Interest Services

What additional skills will be good to have?

  • Experience in roles within a Risk / Compliance / Regulatory framework / Trade Reporting

  • Experience in a role that drives IT System enhancements

  • Excellent Knowledge of MS Office products and demonstrate skills of their use

  • Detailed understanding of disclosure obligations (from a legal, regulatory and business product perspective
