Role Purpose:
The successful candidate will provide high quality, timely and cost-effective legal advice, origination and structuring support and transaction execution to the HSBC Infrastructure Finance (“HIF”) business with regional hubs presently in Dubai and Riyadh and (when capacity sharing with the EMEA and APAC HIF legal teams) London, Paris, Dusseldorf, Hong Kong, and Singapore, and any other sites from time to time, to primarily support the structuring, negotiation and execution of export finance, infrastructure finance, growth markets and project financings. In addition, the successful candidate will partner with the HIF business on ongoing legal and regulatory developments across regions relevant to the business, new product governance and development initiatives and workstreams and the delivery of HIF’s key strategic objectives in green and sustainable finance.

Duties & Responsibilities 
•    Leading the structuring, review and negotiation of finance documentation for cross-border export credit, infrastructure finance, and project finance transactions (with involvement from pitch phase to completion, and thereafter), alongside origination teams.
•    providing legal advice to the HIF Portfolio Management Team on legacy transactions in distressed and non-distressed scenarios.
•    demonstrating a good commercial understanding of the range of loan transactions and maintaining a detailed knowledge of current market terms.
•    demonstrating a good understanding of how export credit agencies and multilateral agencies operate, the various products they offer and CIRR funding structures.
•    reviewing, internal escalation and resolution of legal, reputational and other internal issues.
•    precise instruction and management of external lawyers and external legal costs.
•    managing relationships with the various internal and external stakeholders (including the export credit agencies), HIF senior management, Issuer Services, other colleagues in Legal (both in Dubai and in other teams globally), Portfolio Management, ESG, Compliance, Credit and Tax.
•    being a trusted adviser to the business by ensuring that commercially sensitive, pragmatic and practical legal support and advice is provided in a cost-effective manner to the HIF origination teams and relationship managers; and 
•    keeping abreast of relevant regulatory and legal developments insofar as they affect HIF transactions.
•    Provide counsel and legal support on a variety of legal matters, or in a specialist area, including matters that may be complex or may have some impact.
•    To be considered to be a trusted adviser to the business by ensuring that commercially sensitive, pragmatic and practical legal support and advice is provided in a cost-effective manner to CIB departments.
•    Provide support and guidance to CIB departments with regard to legal risks arising in jobholder’s area of expertise.
•    Provide prompt, commercial, practical and sometimes complex (under supervision) and / or specialized legal advice to CIB departments.
•    Be proactive in the provision of legal support and in advising the business promptly of material legal developments and their implications.
•    Ensure senior legal management is fully briefed on major issues arising in relevant business area and major legislative changes in area of expertise.
•    Recommend selection of panel law firms and other appropriate external parties.
•    Deliver fair outcomes for our customers and ensure own conduct maintains the orderly and transparent operation of financial markets.

•    Develop and recommend changes and improvements to operating models, procedures and practices based on subject matter expertise and understanding of HSBC and market best practice.
•    Communicate and adhere to HSBC policy and procedures in order to ensure good operational, financial and project management, policy and procedural compliance and early identification and effective resolution or escalation of issues that arise.
•    Contribute to the development, implementation and maintenance of relevant management information, analysis and reporting framework that supports and informs timely and effective business management and decision making at all levels in the relevant area of Global Legal.
•    Contribute to the implementation and monitoring of the application of relevant policies, governance frameworks, procedures, practices and standards to ensure quality, effective risk management and regulatory compliance.

Requisitos

Experience & Qualifications
•    Graduation degree is REQUIRED– to secure a UAE Visa and Work Permit.
•    A qualified lawyer with demonstrable export, infrastructure and/or project finance experience gained within a top-tier financial institution and/or private practice is essential.
•    Knowledge and experience of banking, corporate and securities law and legal concepts and a working knowledge of the laws in the major jurisdictions in which HSBC operates.
•    The ability to handle a diverse range of issues and pick up ad hoc projects as needed is essential.
•    Knowledge of the HSBC Group corporate structures, its business and personnel and a clear understanding of HSBC’s corporate culture would be advantageous.
•    Ability to prioritise – a self-starter, able to operate independently with good organizational skills is essential.
•    Experience of providing prompt and practical legal guidance, dealing with ambiguity, considering various perspectives and taking responsibility for the outcomes such as potential long-term risks and implications.
