Global Legal plays an important role in protecting the Group’s reputation by helping to future-proof the organization through robust legal risk and issue advisory. Responsible for providing comprehensive legal advice to senior management and all global businesses and functions, the team offers a diverse range of legal skills, jurisdictional experience and practice specialisms across all countries and territories in which our businesses operate.

We are currently seeking an experienced professional to join this team in the role of Senior Legal Counsel, Trust and Fiduciary Services.

Role Purpose:

Provide assistance and support to, and under the appropriate supervision (regarding in particular HSBC and Trust Fiduciary Services (TFS) risk appetites and/or sensibilities) of, (i) the permanent lawyers in the TFS Asia Pacific (ASP) Legal team, and (ii) the Global Head of Legal, TFS in relation to the following:

  • Advising on a broad range of technical legal issues relating to or arising out of BAU of the TFS ASP (HK and SG) businesses including matters that may be complex or may have material impact.
  • Providing legal assistance in relation to the identification and implementation of remedial solutions arising from various projects being conducted by the TFS ASP businesses.
  • Such TFS Global matters as the Global Head of Legal, TFS may delegate from time to time.
  • Identifying legal risks in the TFS ASP businesses and appropriate risk mitigation strategies to ensure that the TFS ASP businesses remain compliant with legal risk management requirements set out in the Group Standards Manual and Legal FIM and that the interests of the HSBC Group are adequately protected.
  • Providing support to TFS governance meetings (ASP and Global) where Legal representation is required.
  • Managing the appointment and supervision of external legal counsel where required by the business for specialist legal advice.

Such support needs to be technically proficient but should also be provided with a view to ensuring that commercially sensitive, pragmatic and practical legal support and advice is provided in a cost-effective manner to the TFS ASP businesses.

Principal Responsibilities:

Governance and Committee Memberships

  • The role holder is unlikely to attend formal governance meetings on behalf of TFS Legal, but may be required to assist with the preparation of TFS Legal’s submissions from time to time. 

Accountabilities for Business, Customers and Stakeholders

  • Provide legal support within the assigned area of responsibility and subject to appropriate supervision on a variety of legal matters including matters that may be complex or have potential for significant impact.
  • To conduct themselves in a way that is consistent with TFS Legal’s goal to be a trusted adviser to the TFS businesses, including by ensuring that commercially sensitive, pragmatic and practical legal support and advice is provided in a cost-effective manner to the TFS ASP businesses.
  • Support the Global Head of Legal, TFS in implementing legal policies to ensure that the Group’s exposure to Global legal risks is managed appropriately within the TFS ASP businesses, and globally (where appropriate).
  • Under appropriate supervision (regarding in particular HSBC and/or TFS risk appetites and/or sensibilities): 
  • Provide specialised legal and related regulatory advice, guidance and support to the TFS ASP businesses, in conjunction with other second line risk stewards.
  • Assist in the provision of prompt, commercial, practical and often complex and/or specialised legal advice to the TFS ASP businesses. 
  • Be proactive in (i) the provision of legal support, and (ii) assisting the permanent TFS ASP Legal team in advising the TFS ASP businesses promptly of (a) key legal and regulatory developments impacting the TFS ASP businesses, and such actions as are required to ensure initial and ongoing compliance.
  • Assist in managing the relationships with panel law firms/external legal counsel.

Leadership & Teamwork

  • Establish and maintain positive and professional working relationships with all members of the TFS ASP Legal team, and where relevant the members of other legal teams (including the global TFS Legal team and the GPB&W ASP Legal team) and members of the TFS ASP businesses.
  • Share legal knowledge and best practices with legal colleagues.
  • Participate to the extent appropriate in the co-ordination and promotion of initiatives that result in the sharing of legal knowledge and best practices across the Global Legal Function.
  • Conduct supportive relationships with other specialist advisory functions, including regulatory compliance and tax.
Requisitos
  • Qualified Solicitor with a developed specialisation in trusts law.
  • Knowledge and experience of non-contentious trusts law and practice (no specific jurisdictional expertise is required) and private client work is essential. International trusts and private client work (in particular offshore experience in jurisdictions including the BVI and the Cayman Islands), as well as contentious experience, will also be beneficial given the geographical scope of the TFS ASP businesses.  
  • Knowledge and experience of banking, finance and corporate law in the major jurisdictions in which TFS ASP operates is also desirable.
  • Ability to learn quickly and maintain knowledge about the HSBC Group business and personnel, HSBC Group policies and procedures, and develop a clear understanding of HSBC’s corporate culture.
  • Strong ability to deal with a number of stakeholders and to prioritise a demanding workload in terms of legal risk and commercial consideration.
  • Communication and inter-personal skills with the ability to adapt communication style and content to appropriately address the management level of the audience. 
  • Lateral thinking/problem solving and the ability to understand the relationships between a range of complex issues and the impact of those issues from a legal, financial and reputational perspective to advise client and reach a solution.
  • Ability to keep up-to-date with key legal and regulatory developments impacting the TFS ASP businesses and to advise the businesses accordingly to ensure initial and ongoing compliance.
