HSBC’s Legal function plays a critical role in supporting the bank’s global operations, managing legal risk, and ensuring the efficient and effective use of external legal resources. We work closely with leading law firms and alternative legal service providers to secure the best commercial and strategic outcomes for the bank.

We are currently seeking a Senior Legal Counsel – Private Credit to join the HSBC UK Legal Team.  This Senior Legal Counsel role has a focus on Leveraged Finance and specifically Private Credit style structures within the HSBC UK Commercial Banking (CMB) business. The role holder will be part of the Global Legal Function.

The role of Senior Legal Counsel is to provide legal advice, guidance and support to CMB focusing on the private credit proposition for the Leveraged Finance Origination team (part of Structured Finance) to ensure that HSBC Group’s exposure to legal risk is managed. The Private Credit strategy is an exciting proposition which will extend and protect CMB’s position as leading bank lender within the UK Leveraged Finance loan market (in particular in the mid-market Private Equity sector), driving asset growth in the Leveraged Finance portfolio in support of HSBC UK’s wider growth strategy.

In this role, you will:

•    Provide day-to day legal advice, which is prompt, commercial and practical.
•    under a transaction advisory model, for commercial banking transactions and projects with a particular focus on Private Credit for the Leveraged Finance Origination team.
•    Be a trusted adviser to the business (with a particular focus on Private Credit relationships) by ensuring that commercially sensitive and pragmatic legal support is delivered. This may include discussions on proposed deal structures, demonstrating an in-depth knowledge of security, guarantee, financial covenant, subordination and intercreditor issues.
•    Be proactive in the provision of legal support and in advising the business of material legal developments and their implications.
•    Assist the business to remain compliant with internal legal risk management requirements.
•    Assist in managing the approach to legal risk in CMB to ensure that the interests of the HSBC Group are adequately protected.

Requirements

To be successful in this role you should meet the following requirements:

•    Qualified UK Solicitor with senior level PQE and substantial relevant sector experience gained either within a financial institution or top tier private practice
•    Knowledge and experience of banking and corporate law including in the context of the Loan Market Association precedents, US style financing structures along with both top tier and mid-market leveraged finance.
•    A comprehensive understanding of (i) syndicated leveraged finance documentation including complex commercial grids, term sheets, mandate/ engagement letters, loan facility, intercreditor and ancillary documentation for cross-border transactions; (ii) current market trends in the leveraged finance market including covenants; and (iii) complex capital structures.
•    Excellent spoken and written communication skills with experience of adapting style and approach to the audience and message to be delivered is essential.
•    The ability to think independently being mindful of maintaining an appropriate balance between management and mitigation of legal risk and business efficacy.

The base location for this role is London Queen Victoria Street with a hybrid working pattern.
