The Vice President, Senior Transaction Manager will work as part of a team dedicated to the review and negotiation of documentation related to Bond transactions (Conventional Debt, Medium Term Note Programmes and Structured Finance), Loan Facility transactions (Syndicated Facilities and Project Finance), Reinsurance Trust and Escrow transactions, from a corporate trustee and loan agency perspective. The jobholder will liaise with external counsel and internal group legal and/or compliance where required and work closely with business development, client services and operations to ensure smooth onboarding of transaction.  The position will also involve managing (together with internal and external counsel and senior business managers where appropriate) post-closing matters ranging from amendments and waivers to defaults and enforcement situations.

As our Vice President, Senior Transaction Manager   you will:

  • Negotiation and execution of transaction documents on behalf of HSBC Issuer Services. The jobholder should have strong knowledge of and will be dealing with transaction documents for various product types, including bonds, loans, reinsurance trust and escrow
  • Apply knowledge of the Issuer Services products to analyze transaction structure as a whole from a legal and operational perspective to identify any potential issues or unusual duties/obligations
  • Provide on-going support of Issuer Services transactions as required including analyze post-closing issues, recommending best course of actions to internal stakeholders (e.g. client services and operations) and handling defaults
  • Respond promptly to any request for comments or queries from clients and internal stakeholders including relationship managers; good time management skill and being flexible are key
  • Provide guidance and develop (as needed) junior transaction managers and other Issuer Services staff member
  • Take responsibility with autonomy for the assigned workload and respond promptly to client’s and stakeholder’s request, while at the same time being able to escalate issues where appropriate

For this role, HSBC targets a pay range between $145,400.00 and $218,000.00

The final fixed pay offer will depend on the candidate and a number of variables, including but not limited to, role responsibilities, skill set, depth of experience and education, licensing/certification requirements, internal relativity, and specific work location.

Requirements

You´ll likely have the following qualifications to succeed in this role:

  • Minimum 7 years’ experience as a transaction manager in the Issuer Services or Corporate Trust and Loan Agency business
  • Demonstrated structured finance, bonds, reinsurance trust, syndicated loans, project and export finance, and escrows exposure; a good understanding of the US bonds/loans market and banking operations is desirable
  • Strong time management, documentation and negotiation skills with an eye for details
  • A self-starter with ability to work independently and be proactive, but also a team player who can collaborate effectively with clients and stakeholders
  • Ability to work under pressure, anticipate issues, manage priorities effectively and be flexible
  • A good communicator, both written and verbally
