Legal Department

Our legal function comprises legal counsels and executives of high caliber with their respective expertise. We work as a team, with the mission to provide legal services of the highest professional standards to:

• facilitate the business by giving proactive, practical and comprehensive legal advice
• manage legal risk

• protect the integrity and reputation of the bank

   

We function as trusted legal advisers and proactive business partners to our management and the business and other support functions that we serve. If you join the Legal function, you will be part of a global team, providing you with know-how and support, and you will gain exposure to a variety of financial services and products.

We are currently seeking a high caliber professional to join our team as Senior Legal Counsel.

Principal responsibilities

• Assist with the preparation, negotiation and review of various legal contracts for the Bank’s Global Markets (GM) business, including broker contracts, IT contracts, custodian agreements, service level agreements etc.
• Prepare and review GM products and corporate investment products related documents, including marketing materials, seminar materials, product termsheet, product factsheet, transaction confirmation and other transactional documents and agreements etc.
• Provide oversight on the negotiation and execution process of Traded Market Documentation for the Bank including, without limitation, ISDA Master Agreement, Credit Support Annex, documentation for Margin Rules for Non-centrally Cleared Derivatives, GMRA, GMSLA and any other related agreements.
• Support the preparation, negotiation and review of facility documentation, bespoke lending and financing (bilateral and syndicated) documentation and provide quality legal advice to business to manage legal risk.
• Provide advice and support to business on the legal related issues in relation to the corporate business accounts of the Bank.
• Provide assistance and/or education and/or discussions with other team members and relevant internal stakeholders on technical issues in relation to Traded Market Documentation, lending and financing documentation & investment product documentation and be able to share any market updates with them.
• Provide legal advice, guidance and support to ensure that legal and reputational risks of the business are proactively identified and mitigated.
• Coordinating and managing relationships between internal and external stakeholders, businesses and support functions such as external clients and advisors, compliance and risk functions, operations and project managers.
• Being innovative and suggesting solutions that are pragmatic and commercially sound, in addition to being legally sound, aligned with the Bank’s strategy and within the Bank’s risk parameters.
• Monitoring major legislative changes and assessing the impact of such changes on the Bank’s business.
• Understand, follow and demonstrate compliance with all relevant internal and external rules, regulations and procedures that apply to the conduct of the relevant business, specifically internal controls and any Compliance policy.

• Hong Kong qualified lawyer with 12 years or above experience gained in the relevant jurisdiction
• Knowledge of Traded Market Documentation, Markets products, lending, financing and investment products for corporate clients
• Experience with managing external counsel and external legal spend
• Strong technical skills.  Able to provide solutions that are commercial, pragmatic and legally sound with a view to supporting business strategy
• Ability to handle complex issues and formulate practical, risk-based solutions  
• Strong communication skills (both written and verbal) and strong inter-personal skills
• Lateral thinking/problem solving skills
• Stay updated with the latest legal developments and regulatory changes in the banking sector.
• Corporate experience
• Ability to prioritise and manage multiple matters from different business and functions
• Fluent in Chinese and English. Mandarin skills will be highly regarded
