The Opportunity :

 

The role holder will be responsible of the Disclosures of Interest (DoI) Operations globally. This is a Centre of Expertise (CoE) that has been mandated by the HSBC Group to own the controls, processes, and procedures to ensure that HSBC complies with all published and known disclosures of interest obligations set out by Regulators and Competent Authorities.

 

The role holder will be the Global Control Owner for DoI obligations and will execute their responsibilities in line the HSBC risk management framework and risk appetite on behalf of the 1LOD (Risk Owners).

 

To ensure that HSBC meets all its Obligations, the Global DOI lead will manage appropriate controls in accordance with the HSBC Risk Management Framework. The role holder will be own and maintains business-specific and operational risk procedures. These are based on an understanding of the laws, regulations and requirements that apply to monitoring and reporting of all global DoI Obligations.

 

The Global DOI lead will own key controls to monitor and report the HSBC Group’s interests in listed securities and sovereign debt in each Jurisdiction that the HSBC Group are actively trading and holding reportable interest globally. This includes: -

  • Review all changes impacting DoI Obligations and ensure controls are implemented to address such changes – this covers changes in Business trading activities and changes in the regulations. These must be understood, documented, socialized, and implemented.

  • Oversee the daily monitor trigger events that will lead to the filing of disclosure notifications - this will include a number of data quality checks, RFI processes to be completed and quality controls executed before a disclosure is issued to Regulators and Companies.

  • The role holder will need to run the operation efficiently from cost perspective whilst building strong collaboration with Compliance and Legal to identify and address risks for relevant Lines of Businesses/Risk Owners.

The main responsibilities consist of, but are not limited to:

  • Protect the reputation & integrity of the Group by ensuring appropriate operational processing and administrative activities are completed in accordance with local laws and regulations.

  • Obtain “Satisfactory” grading in audits, in order to avoid fines, or sanctions.

  • Establish procedures that optimize efficiency in reducing the inherent risks & costs in the DoI processes and systems used.

  • Implement with the team, the proposed initiatives with the Line of Businesses seeking the appropriate prioritization to achieve the appropriate deployment of resources, & mitigation of risks in the operational area.

  • Maintain control and governance of Audit, Assurance and MSII outcomes & clearance within timelines. Manage, maintain and control costs versus de Annual Operation Plan (AOP) budget, including resource demand and supply within plan.

  • Track and oversee Change Transformation activities as well as supporting the delivery of all major programs in accordance with Global Standards.

  • The impact to HSBC if this role is not executed in accordance with regulation is potential Regulatory censure and fines and could led to reputational impact. Therefore, this role holder is a material Risk Owner.

What you’ll do

  • DoI Control Owner for the HSBC Group and all Legal Entities

  • Chair of the DoI Operating Committee comprising Global Line of Business COOs, Risk Stewards, Operations Support Functions

  • Owner of the DoI Systems and annual technology budget

  • HSBC Representative on the Endoxa Forums and drive the success of the consortium

  • Third Party Relationship Manager for DROIT, Proxinvest, Finpacfic, external Legal Firms (who may deliver services for DoI Operations

  • Promote & support the implementation all technological initiatives & the improvement of processes that have been identified as being necessary & viable

  • Responsible to ensure all changes to DoI obligations are implemented by the DoI Team and other stakeholders

  • Drive delivery of objectives in line with organizational strategy enabling the achievement of operational goals.

  • Input expertise to meet stakeholder priorities

  • Direct major projects (if any) with significant business impact within Ops, Compliance Transformation and Risk Stewards

  • Defining a robust quality model to ensure DoI Operations meet all regulatory obligations

  • Manage & supervise the KRI´s & KPI´s to generate & implement the strategies necessary to achieve an increase in performance, productivity, & the quality of all processes.

  • Chair and assist in regular meetings with all stakeholders to facilitate good communications and resolve issues within the organization for the varying business areas, that DOI Operations support.

  • Ensure key stakeholders are informed of the progress and challenges within DOI Operations (Operations Management, Risk Owners, Risk Stewards and Legal)

  • Work closely with relevant stakeholders to implement and update guidance and policy appropriately

  • Interface regularly with senior business managers to resolve escalated issues and identify opportunities to meet specific business needs that may arise.

  • Identify performance improvement opportunities and work with key stakeholders to realize.

Leadership & Teamwork:

  • Provide leadership, support, guidance and coaching to the management team within DOI Operations. 

  • Lead and motivate the team to pursuit excellence.

  • Promote and ensure effective communication across the team.

  • Develop skills and competency within the team, to encourage expertise and senior competences.

  • Maintain and develop a management team of high productive efficient SMEs within the team through effective use of the appraisal system, regular coaching, counselling, and motivation.

  • Seeking ways to improve processes by fostering a proactive cost conscious and innovative work culture.

  • Encourage staff to suggest new ideas thereby continuously improving productivity.

  • Management responsibility for team(s), providing clear direction, setting performance targets and contributing to employees' professional development.

  • Monitor program and project activity by attending relevant forums and committees, bring that information back to the team and ensuring readiness within the latter for effective delivery from people, process and system perspective.

  • Ensure risk and issues are on the agenda and articulated effectively at all relevant senior forums in group, acting as the voice up and down the communication flows, being the eyes and ears to ensure issues are raised and followed through to conclusion and success is equally reported.

  • Ensure costs are effectively managed to AOP and issues / risks remain appropriately addressed. 

  • Ensure exposure to regulatory and reputational risks is managed, in a commercially sensitive, practical and cost-effective way.

  • Work with the broader R&C Operations teams and infrastructure; including the GSC, QA and Production teams to ensure process performance in GSC site, including robust error/defect analysis (cost & quality) based on the standard quality monitoring methodology and risk control assessment.

  • Translate high level strategic proposals into specific action plans which can be delivered by Operations.

What you will need to succeed in the role:

  • Strong technical knowledge of Disclosure of Interest regulatory obligations – ability to read and interpret the regulations and implement relevant controls across all jurisdictions.

  • Ability to interpret the legal aspect of the disclosure obligations and apply to Business trading processes.

  • Form and sustain strong working relationships with key internal and external stakholders to ensure risks are understood and addressed (Business, Compliance, Legal, Senior and Executive Management, External Counsel, Regulators, Industry Forums).

  • Strong Courageous leadership and senior management skills.

  • Proven ability to prioritize competing demands.

  • Exceptional organizational, planning and management skills.

  • Ability to build relationships by communicating, influencing and negotiating effectively with business heads, senior managers, consultants, technical experts across the whole department and business users.

  • Extensive experience in the Finance and Banking industry environment (e.g, fund administrator, brokerage house, custodian, investment bank etc.).

  • Extensive experience in Compliance and Legal frameworks in regards to Market Conduct.

  • Experience in risk management field, and proven ability to support the development of the business activities while robustly applying risk management disciplines and controls.

  • Strong knowledge of regulatory trends and developments.

  • Strong interpersonal skills and able to build and maintain global relationships.

  • Outstanding written / verbal communication and presentation skills.
