The Company Secretarial function leads, develops and manages corporate governance throughout the Group. As principal advisors to the boards of directors on corporate governance matters, the team also holds responsibility for establishing and managing stock exchange listings, directing and managing shareholder meetings and equity raisings, and representing Group interests in the development of laws and regulations. 

We are currently seeking a high calibre professional to join our team as an Assistant Company Secretary.

Principal Responsibilities

In this role you will

  • Attending and preparing minutes for Asia Risk Management Meetings; Advising members of the Asia Risk Management Meeting, as well as relevant business and infrastructure teams, on all related corporate governance matters
  • Meeting dates scheduling and agenda planning to ensure the terms of reference are discharged with due consideration and alignment to the agendas and cadence of Group and market level risk management forums, as well as the HBAP Board and its Committees, as appropriate
  • Reviewing and challenging the meeting papers submitted by businesses and infrastructure teams in terms of the content and clarity of actions being proposed, as well as adherence to Group best practices and standards. Drafting governance related papers for Asia Risk Management Meetings (and for onward submissions to the HBAP Board and its Committees/Forums where required)
  • Supporting connectivity of the Asia Risk Management Meeting with Group and market level risk management forums, as well as the HBAP Board and its Committees as appropriate. Re-engineer existing processes to deliver efficiencies
  • To contribute to the achievement of the objectives of the Governance function by ensuring that effective company secretarial support and advice are provided through an appropriate and consistent corporate governance framework
  • To contribute to the development of the strategic and operational objectives of the Governance function
  • To support best practice corporate governance, including the ongoing assessment of adherence to applicable corporate governance codes and other regulatory, market, or Group expectations
  • To understand and act upon changes in legislation and regulations, with particular regard to the continuing obligations of the Bank, its Board and Committees, as well as management governance forums
Requirements

To be successful you will need

  • Previous governance and/or corporate secretarial experience
  • Familiarity with the relevant corporate governance requirements under the laws and regulations in Hong Kong and/or UK is preferable
  • Detailed knowledge of the HSBC Group and strong understanding of its global policies, operating model and corporate culture is desirable
  • Strong attention to detail with good judgment and initiative
  • Lateral thinking and strong problem-solving skills
  • A strong team player with excellent communication and interpersonal skills
  • Excellent written and spoken English
  • Risk management knowledge and experience are preferred
